- SM IT Solutions shall not be held liable for any claims, legal actions, or disputes arising from the use of copyrighted materials on a client’s website or system.
4.2 Ownership of Work
- All intellectual property rights, including but not limited to copyrights, patents, trademarks, and trade secrets, related to services provided by SM IT Solutions shall remain the exclusive property of SM IT Solutions unless explicitly agreed otherwise in writing.
- Custom projects such as websites, applications, and software developed for clients may be transferred upon full payment, subject to licensing agreements and restrictions.
- Any pre-existing proprietary tools, frameworks, or software used in delivering services remain the property of SM IT Solutions.
4.3 Use of Content
- Clients may not copy, modify, distribute, or create derivative works from any intellectual property owned by SM IT Solutions without express written consent.
5. Liability and Disclaimers
5.1 Limitation of Liability
- SM IT Solutions shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of data, revenue, or profits, arising from the use of its services.
- The maximum liability of SM IT Solutions under any circumstances shall not exceed the amount paid by the client for the specific service giving rise to the claim.
5.2 No Warranty

- These Terms and any disputes arising under them shall be governed by and construed in accordance with the laws of the State of Atlanta, without regard to conflict of law principles.
- Any legal proceedings shall be conducted in Atlanta, Georgia.
